General Terms and Conditions
§ 1 Scope
These General Terms and Conditions (GTC) apply to all contracts between NexSphere-Consulting (hereinafter "Contractor") and the Client for consulting and services in the field of information technology, in particular network concepts, hardware and support.
§ 2 Services
The scope of services to be provided is determined by the respective contract or offer from the Contractor. Side agreements and amendments require written form. The Contractor provides the services according to the current state of the art and with the diligence of a proper IT consultant.
§ 3 Client's Duty to Cooperate
The Client ensures that all information, data and access required for the execution of the order are provided in a timely and complete manner. The Client names a responsible contact person.
§ 4 Remuneration
The prices stated in the respective offer apply. All prices are plus statutory value added tax. Invoices are due within 14 days of invoicing without deduction.
§ 5 Confidentiality
Both parties undertake to keep strictly confidential all confidential information and trade secrets of the other party that became known in the course of the collaboration. This obligation also applies beyond the termination of the contractual relationship.
§ 6 Warranty
The Contractor warrants that the services provided comply with the specifications agreed in the contract. In the event of defects, the Contractor is entitled to provide subsequent performance first.
§ 7 Liability
The Contractor is liable without limitation for intent and gross negligence. For slight negligence, the Contractor is only liable in the event of a breach of cardinal obligations and only to the amount of the typically resulting damage, but maximum to the amount of the order value.
§ 8 Termination
For service contracts, the contract can be terminated with two weeks' notice to the end of the month. The right to extraordinary termination for good cause remains unaffected.
§ 9 Final Provisions
The law of the Federal Republic of Germany applies. Place of jurisdiction is Jena. Should individual provisions of these GTC be or become invalid, the validity of the remaining provisions remains unaffected.
